Naro Energy Terms of Service

Effective Date: September 7, 2026

Welcome to Naro Energy. These Terms of Service ("Terms") govern your access to and use of the Naro Energy website and our energy-related products and services.

By accessing our website, submitting an enquiry, requesting a quotation, scheduling a site assessment, purchasing a product or service, or entering into a service agreement with Naro Energy, you acknowledge that you have read and agree to these Terms.

Please read these Terms carefully. Additional terms, specifications, quotations, proposals, purchase orders, service agreements, warranty documents, or other written agreements may apply to particular products or projects.

1. Services Provided

Naro Energy provides energy-related products, solutions, and services for residential, commercial, institutional, and other customers.

Our services may include, but are not limited to:

  • Rooftop solar and photovoltaic (PV) systems

  • On-grid, off-grid, and hybrid energy solutions

  • Solar system installation and commissioning

  • Energy system assessment and consultation

  • Solar system maintenance and Annual Maintenance Contracts (AMC)

  • Panel cleaning and related maintenance services

  • Solar-powered water pumping solutions

  • Energy equipment supply and coordination

  • Electrical and energy-infrastructure solutions

  • Other renewable energy and energy-infrastructure services that Naro Energy may introduce from time to time

The availability and scope of a particular service may vary depending on the customer's location, property, technical requirements, applicable regulations, equipment availability, and project-specific circumstances.

The exact scope of work, equipment specifications, pricing, installation requirements, project timelines, warranties, and other applicable conditions will be set out in the relevant quotation, proposal, work order, service agreement, or other written documentation issued or accepted by Naro Energy.

2. Quotes, Proposals & Estimates

Unless otherwise stated in writing:

  • Quote Validity: Quotations and estimates are valid for the period specified in the quotation. If no validity period is specified, the quotation may be subject to change based on equipment prices, taxes, government policies, availability, transportation costs, exchange-rate fluctuations, or other relevant factors.

  • Subject to Availability: Equipment, modules, inverters, electrical components, batteries, structures, and other materials are subject to availability from manufacturers and suppliers.

  • Site Assessment: A quotation may be based on information supplied by the customer and/or information available at the time of assessment. A final system design, price, or scope may change if a physical site inspection identifies conditions that were not reasonably apparent beforehand.

  • Additional Work: If unforeseen site, structural, electrical, regulatory, or technical conditions require additional work, materials, equipment, or modifications, Naro Energy may provide a revised quotation or change order for customer approval before undertaking material additional work, except where immediate action is reasonably necessary for safety or compliance.

  • Government Incentives: Where applicable, references to government subsidies, incentives, net metering, approvals, or other benefits are subject to the applicable rules and decisions of the relevant government authority, DISCOM, utility, or other competent body. Naro Energy does not guarantee the approval, availability, amount, or continuation of any government incentive unless expressly agreed in writing.

3. System Performance & Energy Generation

Solar and other energy systems are affected by a variety of factors outside Naro Energy's control.

Actual energy generation or system performance may vary due to factors including:

  • Solar irradiation and weather conditions

  • Shading

  • Dust and environmental conditions

  • Roof orientation, inclination, and available area

  • Temperature

  • Electricity consumption patterns

  • Grid availability and interruptions

  • Equipment performance and degradation

  • Utility or DISCOM restrictions

  • Maintenance and cleaning

  • Changes in applicable regulations or operating conditions

Any estimated energy generation, savings, payback period, return on investment, or other performance projection provided by Naro Energy is an estimate based on available information and reasonable assumptions and is not a guarantee of actual future performance unless expressly guaranteed in a written agreement.

4. Customer Responsibilities

Customers are responsible for providing accurate and complete information reasonably required for the evaluation and delivery of a project.

Depending on the nature of the service, the customer agrees to:

  • Provide Naro Energy and its authorized personnel, contractors, engineers, or technicians with reasonable and safe access to the relevant property and work areas.

  • Provide accurate electricity bills, property information, technical information, ownership information, and other documents reasonably required for the project.

  • Ensure that information supplied to Naro Energy is accurate and not misleading.

  • Obtain or assist in obtaining any permissions, consents, property-owner approvals, society/association approvals, or other permissions that are the customer's responsibility under the applicable project arrangement.

  • Keep work areas reasonably accessible and free from avoidable hazards or obstructions.

  • Keep children, pets, and unauthorized persons away from active installation, electrical, construction, or maintenance areas.

  • Notify Naro Energy of known structural, electrical, roofing, access, or other conditions that may affect the project.

  • Use installed equipment in accordance with applicable operating instructions and manufacturer recommendations.

The customer's failure to satisfy these responsibilities may result in project delays, additional costs, rescheduling, or other consequences reasonably necessary to complete the project safely and properly.

5. Project Scheduling & Delays

Project schedules and estimated completion dates are provided in good faith and may depend on factors outside Naro Energy's reasonable control.

These may include:

  • Equipment or material availability

  • Transportation and logistics

  • Weather conditions

  • Site readiness

  • Customer-related delays

  • Government or utility approvals

  • DISCOM processes

  • Inspection or commissioning schedules

  • Grid connectivity

  • Changes in applicable regulations

  • Force majeure events

  • Delays caused by manufacturers, suppliers, contractors, or other third parties

Naro Energy will make reasonable efforts to communicate material delays and, where practicable, provide revised timelines.

Unless expressly agreed otherwise in writing, a stated project timeline does not constitute an unconditional guarantee of completion by a particular date.

6. Payments

Payment terms will be specified in the applicable quotation, proposal, invoice, purchase order, or service agreement.

Depending on the project, Naro Energy may require:

  • An advance or booking payment before procurement or scheduling

  • Progress payments based on agreed project milestones

  • Payment upon delivery of equipment

  • Payment upon installation or commissioning

  • Final payment upon completion of the agreed scope of work

  • Recurring payments for maintenance or other continuing services

Where a payment schedule is specified in a signed service agreement or accepted quotation, that schedule will apply to the relevant project.

Taxes, government charges, transportation charges, installation charges, approval fees, or other costs will be handled as specified in the applicable quotation or agreement.

Failure to make payments when due may result in suspension, postponement, or termination of services, subject to the applicable agreement and law.

7. Equipment & Third-Party Manufacturers

Naro Energy may supply, install, coordinate, or facilitate equipment manufactured by third-party companies.

Depending on the project, equipment may include:

  • Solar modules

  • Inverters

  • Batteries or energy-storage equipment

  • Mounting structures

  • Electrical protection and switching equipment

  • Cables and wiring

  • Monitoring equipment

  • Solar water-pumping equipment

  • EV charging equipment

  • Other energy or electrical equipment

Product specifications, availability, models, brands, and configurations may be subject to change based on manufacturer availability and project requirements.

Where a particular manufacturer warranty applies, that warranty is governed by the manufacturer's terms and conditions.

Naro Energy may assist customers with warranty registration or warranty claims where such assistance forms part of the agreed service, but Naro Energy cannot alter or extend a manufacturer's warranty unless expressly authorized to do so.

8. Installation, Commissioning & Handover

Where Naro Energy is responsible for installation, we will use reasonable professional care in carrying out the agreed scope of work.

Upon completion, the system may be inspected, tested, commissioned, and handed over in accordance with the applicable project requirements.

The customer may be required to acknowledge completion or handover of the agreed scope.

Minor outstanding items that do not materially affect the safe operation of the system may be completed separately within a reasonable period.

9. Warranties & Maintenance

Any Naro Energy workmanship warranty, service warranty, Annual Maintenance Contract, or other warranty provided by Naro Energy will be governed by the specific terms communicated to the customer in the applicable quotation, service agreement, warranty certificate, or other written documentation.

Manufacturer warranties for equipment are governed by the respective manufacturer's terms.

Unless expressly stated otherwise in writing, warranties may not cover damage or malfunction resulting from:

  • Unauthorized modification or repair

  • Improper use or operation

  • Physical damage

  • Negligence or misuse

  • Electrical faults or conditions outside specified operating parameters

  • Natural disasters or other events beyond reasonable control

  • Failure to perform required maintenance

  • Normal wear and tear

  • Rodent, pest, animal, or environmental damage

  • Acts or omissions of third parties

The specific warranty applicable to a project will prevail over general statements in these Terms where there is a conflict.

10. Safety & Electrical Work

Energy and electrical systems can involve significant electrical, structural, fire, and other safety risks.

Customers must not open, modify, disconnect, repair, relocate, or otherwise interfere with installed systems except as permitted by the applicable operating instructions or by appropriately qualified personnel.

Naro Energy may suspend or refuse work where site conditions present a material safety risk or where necessary permissions, information, or conditions required for safe execution are unavailable.

11. Limitation of Liability

Naro Energy will take reasonable care in providing its services. However, to the maximum extent permitted by applicable law, Naro Energy will not be responsible for losses arising from circumstances beyond its reasonable control, including equipment manufacturer defects, utility or DISCOM interruptions, grid failures, government actions, weather events, natural disasters, unauthorized modifications, customer misuse, or third-party acts or omissions.

Naro Energy is not responsible for pre-existing structural, electrical, roofing, civil, or other property conditions that were not caused by Naro Energy and were not reasonably identifiable as part of the agreed scope of work.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.

Where legally permissible and subject to the terms of the applicable project agreement, Naro Energy's liability will be limited to the amount paid by the customer for the specific services giving rise to the claim.

Your use of third-party services may be subject to separate terms and privacy policies established by those providers.

15. Force Majeure

Naro Energy will not be liable for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control.

Such circumstances may include natural disasters, severe weather, fire, flood, epidemic or pandemic events, war, civil unrest, government restrictions, changes in law or regulation, utility or DISCOM actions, transportation disruptions, supply-chain interruptions, equipment shortages, labor disruptions, cyber incidents, or other events that could not reasonably have been prevented or controlled.

16. Cancellation & Termination

Cancellation rights, refunds, termination charges, procurement commitments, and other consequences of cancellation will be governed by the applicable quotation, service agreement, purchase order, or other written agreement.

Where equipment has already been procured specifically for a customer's project, reasonable non-refundable procurement, customization, transportation, or other committed costs may apply, subject to applicable law and the terms agreed with the customer.

Naro Energy may suspend or terminate services where a customer materially breaches the applicable agreement, fails to make required payments, provides materially inaccurate information, creates unsafe working conditions, or otherwise prevents reasonable performance of the agreed services.

Any dispute relating to a specific project or service will be subject to the dispute-resolution and jurisdiction provisions contained in the applicable agreement, where such provisions exist.
